The Board of Directors of Perpetual Energy Inc. is composed of a majority of external non-management Directors who are elected annually by shareholders.
Clayton H. Riddell
Mr. Riddell is currently Executive Chairman of the Board of Perpetual Energy Inc. He has been the Chairman of the Board and Chief Executive Officer of Paramount Resources Ltd. ("PRL") since 1978 and until June 2002, he was also President. He is the Executive Chairman of the Board of Trilogy Energy Trust and a director of Tourmaline Oil Corp.
Mr. Riddell graduated from the University of Manitoba with a Bachelor of Science (Honours) Degree in Geology and is currently a member of the Association of Professional Engineers, Geologists and Geophysicists of Alberta, the Canadian Association of Petroleum Producers, the Canadian Society of Petroleum Geologists, and the American Association of Petroleum Geologists.
Susan L. Riddell Rose 3
Sue Riddell Rose has acted as President of Perpetual since its inception with the spin out of Paramount Energy Trust from Paramount Resources Ltd. in 2002. Ms. Riddell Rose graduated from Queen's University, Kingston, Ontario with a Bachelor of Science in Geological Engineering (1986) and has over 25 years of experience in the Canadian oil and natural gas industry. She began her career as a geological engineer with Shell Canada. From 1990 until 2002 Sue was employed by Paramount Resources Ltd. in various capacities culminating in the position of Corporate Operating Officer. She has been a director of Paramount Resources Ltd. since 2000 and a member of the board of directors of Newalta Inc. since 2009. She is a member of the Association of Professional Engineers, Geologists and Geophysicists of Alberta, the Canadian Society of Petroleum Geologists, the American Association of Petroleum Geologists and is a Governor of the Canadian Association of Petroleum Producers.
Ms. Riddell Rose is actively involved with a number of not-for-profit organizations including; the United Way of Calgary, the Premier's Council for Alberta's Promise, UNICEF Canada, Queen's University, the Hotchkiss Brain Institute and initiatives with Ronald McDonald House Southern Alberta.
Karen A. Genoway 2,4,5
Ms. Genoway is a professional landman with over 28 years of experience in the oil and natural gas industry. Currently, she is the Vice President, Land for the private company Onyx 2006 Inc. She was Vice President of Request Management Inc. and Manager of Request Income Trust from 2001 until its acquisition by Pulse Data Inc. in January 2002. Ms. Genoway was previously with the Enerplus Group of Companies where she held the positions of Senior Vice President, Vice President, Land and Land Manager.
Ms. Genoway is a recent graduate from the ICD Corporate Governance College, Directors Education program and received her accreditation from the Institute of Corporate Directors, Institute Certified Director, ICD.D in April 2006.
Randall E. Johnson 1,2,4
Mr. Johnson has been an independent businessman since 2005. Previously, he was Managing Director of the Bank of Montreal's Corporate Banking group from 1996 to 2005 and joined Bank of Montreal in 1984. Mr. Johnson has served on the Board of Directors of Atlas Energy Ltd. and Dual Exploration Inc. since 2007. He has also been a director of Magellan Resources, a privately held oil and gas company.
Robert A. Maitland 1,2,4
Mr. Maitland has over 30 years of senior business experience, primarily in the oil and gas industry. Mr. Maitland was most recently the Vice President, Finance and Chief Financial Officer of Fairquest Energy Ltd. and Fairborne Energy Ltd. He has also been the Vice President and Chief Financial Officer for Canadian Midstream Services Ltd., Summit Resources Ltd., Omega Hydrocarbons Ltd., Shiningbank Energy Income Fund, Post Energy Ltd., and Pan East Petroleum Corp. He presently serves as a director for the Developmental Disabilities Resources Centre and several other private companies.
He is a Chartered Accountant and has completed the Institute of Corporate Directors, Directors Education program.
Geoffrey C. Merritt 1,3,5
Geoff Merritt has over 30 years of experience in the upstream oil and gas sector. He was the founder of Masters Energy Inc., a public exploration and production company, incorporated in 2003 and acquired by Zargon Oil & Gas Ltd. in April 2009. From 1998 to 2003, Mr. Merritt was the President and CEO of Sunfire Energy. Prior to 1998, Geoff was the Vice President and General Manager of the oil and gas division of Pembina Corporation.
Mr. Merritt received a B.Sc. in Chemical Engineering from the University of Alberta in 1978 and is a graduate of the Harvard Business School.
Donald J. Nelson 3,5
Mr. Nelson is President of Fairway Resources Inc., an oil and gas consulting firm. Fairway Resources Inc. was retained as a consultant for Hawker Resources Inc. from November 2004 to March 2005, during which time Mr. Nelson was acting Senior Vice President and Chief Operating Officer of Hawker Resources Inc. Prior to his current occupation, Mr. Nelson held the consecutive positions of Vice President, Operations and President and Director with Summit Resources Limited from 1996 to 2002.
He is an active member of the Association of Professional Engineers, Geologists and Geophysicists of Alberta and of the Society of Petroleum Engineers.
Howard R. Ward 2,3,4
Mr. Ward has been a partner with International Energy Counsel LLP, a law firm, since December 2002. Prior thereto, he was counsel with the law firm McCarthy Tétrault LLP, with Donahue and Partners LLP and as a partner with Burstall Ward, Barristers and Solicitors for more than 22 years. He has served as a director of the following publicly traded entities: Blue Sky Resources Ltd.; Cabre Exploration Ltd.; Jet Energy Corp; and Tuscany Resources Ltd.
He has been a member of the Law Society of Alberta since1975.
